Agreement to Terms

By accessing or using SignalRelay's call management services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our Services.

Service Description

SignalRelay provides call routing and management services for contractors and suppliers. Our Services include:

• Intelligent call routing based on configurable rules
• Call escalation and handover tracking
• Professional intake and follow-up coordination
• Analytics and reporting on call patterns
• Integration with telecommunications infrastructure

User Obligations

Account Responsibility

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access or security breach.

Acceptable Use

You agree not to:

• Use the Services for any illegal purpose or in violation of any laws
• Attempt to gain unauthorized access to our systems or networks
• Interfere with or disrupt the Services or servers
• Use the Services to transmit spam, malware, or other harmful content
• Impersonate any person or entity or misrepresent your affiliation
• Use the Services in a manner that could damage our reputation

Fees and Payment

Services are provided on a subscription basis with fees determined based on your specific requirements, call volume, and features. Payment terms will be outlined in your service agreement.

All fees are exclusive of applicable taxes unless otherwise stated. You are responsible for paying all taxes associated with your use of the Services.

We reserve the right to suspend or terminate Services for non-payment after providing reasonable notice.

Service Availability

While we strive to provide continuous, uninterrupted service, we do not guarantee that the Services will be available 100% of the time. We may perform scheduled maintenance and may experience unscheduled downtime.

We are not liable for any interruption of service caused by factors outside our reasonable control, including telecommunications provider issues, internet connectivity problems, or force majeure events.

Data and Privacy

Your use of the Services is also governed by our Privacy Policy. We collect and process call data as necessary to provide the Services. You are responsible for ensuring you have appropriate consent and legal basis for any call recording or data collection that occurs through your use of our Services.

Intellectual Property

SignalRelay retains all rights, title, and interest in and to the Services, including all related intellectual property rights. You are granted a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms.

Limitation of Liability

To the maximum extent permitted by law, SignalRelay shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

Our total liability for any claims arising out of or relating to these Terms or the Services shall not exceed the amount you paid us in the 12 months preceding the claim.

Indemnification

You agree to indemnify and hold harmless SignalRelay from any claims, losses, damages, liabilities, and expenses arising out of your use of the Services, your violation of these Terms, or your violation of any rights of another party.

Termination

Either party may terminate the service agreement with 30 days written notice. We may suspend or terminate your access immediately if you breach these Terms or for non-payment of fees.

Upon termination, you will no longer have access to the Services, though we may retain your data as required by law or for legitimate business purposes as outlined in our Privacy Policy.

Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by email or through the Services. Your continued use of the Services after such notice constitutes acceptance of the modified Terms.

Governing Law

These Terms are governed by the laws of Australia. Any disputes arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of Australia.
